However,\u00a0<\/span><span data-contrast=\"none\">we<\/span><span data-contrast=\"none\">\u00a0are not there yet.\u00a0\u00a0<\/span><span data-contrast=\"none\">Domestic c<\/span><span data-contrast=\"none\">orporations,\u00a0<\/span><span data-contrast=\"none\">foreign\u00a0<\/span><span data-contrast=\"none\">subsidiaries,<\/span><span data-contrast=\"none\">\u00a0and their directors and\u00a0<\/span><span data-contrast=\"none\">officers<\/span><span data-contrast=\"none\">\u00a0(<\/span><span data-contrast=\"none\">\u201c<\/span><span data-contrast=\"none\">D&amp;O<\/span><span data-contrast=\"none\">\u201d<\/span><span data-contrast=\"none\">) still\u00a0<\/span><span data-contrast=\"none\">have to<\/span><span data-contrast=\"none\">\u00a0be very\u00a0<\/span><span data-contrast=\"none\">careful<\/span><span data-contrast=\"none\">\u00a0when traveling to this country<\/span><span data-contrast=\"none\">,\u00a0<\/span><span data-contrast=\"none\">and particularly when<\/span><span data-contrast=\"none\">\u00a0the latter are not\u00a0<\/span><span data-contrast=\"none\">Canad<\/span><span data-contrast=\"none\">i<\/span><span data-contrast=\"none\">a<\/span><span data-contrast=\"none\">n residents<\/span><span data-contrast=\"none\">.<\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335551550&quot;:6,&quot;335551620&quot;:6,&quot;335559738&quot;:288,&quot;335559739&quot;:168,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"none\">Last March 25th,<\/span>\u00a0the Public Health Agency of Canada (\u201cPHAC\u201d) announced a first Emergency Order issued under Section 58 of the\u00a0<em>Quarantine Act<\/em> to minimize the risk of exposure to COVID-19 in Canada. More recently, on August 28th, a fourth Emergency Order was issued, replacing the second and the third Emergency Order to extend the measures until next September 30th [1]<span data-contrast=\"none\"><span class=\"TextRun SCXW28396617 BCX0\" lang=\"EN-CA\" xml:lang=\"EN-CA\" data-contrast=\"none\"><span class=\"NormalTextRun SCXW28396617 BCX0\" data-ccp-parastyle=\"marginalnote\">.<\/span><\/span><\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335551550&quot;:6,&quot;335551620&quot;:6,&quot;335559738&quot;:288,&quot;335559739&quot;:168,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"none\">The\u00a0<\/span><span data-contrast=\"none\">Order regulates the entry into Canada by providing rules to be followed by every person entering the country,\u00a0<\/span><span data-contrast=\"none\">which includes<\/span><span data-contrast=\"none\">\u00a0the obligation to answer any questions asked by screening officer<\/span><span data-contrast=\"none\">s<\/span><span data-contrast=\"none\">,<\/span><span data-contrast=\"none\">\u00a0the obligation<\/span><span data-contrast=\"none\">\u00a0to wear a mask upon entry in the country and while in transition to isolation or quarantine, but more importantly, the obligation\u00a0<\/span><span data-contrast=\"none\">for all travellers\u00a0<\/span><span data-contrast=\"none\">to quarantine for a period of 14 days following their arrival date.\u00a0<\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335551550&quot;:6,&quot;335551620&quot;:6,&quot;335559738&quot;:288,&quot;335559739&quot;:168,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"none\">The\u00a0<\/span><i><span data-contrast=\"none\">Quarantine Act<\/span><\/i><span data-contrast=\"none\"> applies to individuals, but also to corporations[2]<\/span><span data-contrast=\"none\">. Indeed, under this legislation, the directors, officers,\u00a0<\/span><span data-contrast=\"none\">agents<\/span><span data-contrast=\"none\">\u00a0or mandataries of a corporation are responsible of ensuring compliance to the provisions of the\u00a0<\/span><i><span data-contrast=\"none\">Act\u00a0<\/span><\/i><span data-contrast=\"none\">by all\u00a0<\/span><span data-contrast=\"none\">of their\u00a0<\/span><span data-contrast=\"none\">representatives<\/span><span data-contrast=\"none\">.<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">The\u00a0<\/span><i><span data-contrast=\"none\">Act<\/span><\/i><span data-contrast=\"none\">\u00a0further\u00a0<\/span><span data-contrast=\"none\">states<\/span><span data-contrast=\"none\">\u00a0that these persons shall\u00a0<\/span><span data-contrast=\"none\">be held personally liable of any offence to the\u00a0<\/span><i><span data-contrast=\"none\">Act<\/span><\/i><span data-contrast=\"none\">, as appears\u00a0<\/span><span data-contrast=\"none\">at S<\/span><span data-contrast=\"none\">ubsection 73<\/span><i><span data-contrast=\"none\">.<\/span><\/i><span data-contrast=\"none\">\u00a0Any such person, as well as any individual who contravenes\u00a0<\/span><span data-contrast=\"none\">S<\/span><span data-contrast=\"none\">ubsection 58 or 73 (<\/span><span data-contrast=\"none\">i.e.:\u00a0<\/span><span data-contrast=\"none\">to any Emergency Orders adopted under th<\/span><span data-contrast=\"none\">e\u00a0<\/span><i><span data-contrast=\"none\">Act<\/span><\/i><span data-contrast=\"none\">),\u00a0<\/span><span data-contrast=\"none\">are subject to<\/span><span data-contrast=\"none\">\u00a0a maximum fine of $750,000<\/span><span data-contrast=\"none\">,\u00a0<\/span><span data-contrast=\"none\">to imprisonment for a term of not more than six months, or both.\u00a0<\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335551550&quot;:6,&quot;335551620&quot;:6,&quot;335559738&quot;:288,&quot;335559739&quot;:168,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<p><span data-contrast=\"none\">Therefore,\u00a0<\/span><span data-contrast=\"none\">it is euphemistic to state that\u00a0<\/span><span data-contrast=\"none\">failure to heed\u00a0<\/span><span data-contrast=\"none\">th<\/span><span data-contrast=\"none\">e<\/span><span data-contrast=\"none\">se\u00a0<\/span><span data-contrast=\"none\">E<\/span><span data-contrast=\"none\">mergency\u00a0<\/span><span data-contrast=\"none\">O<\/span><span data-contrast=\"none\">rders could\u00a0<\/span><span data-contrast=\"none\">have\u00a0<\/span><span data-contrast=\"none\">dire effects<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">on\u00a0<\/span><span data-contrast=\"none\">D&amp;O<\/span><span data-contrast=\"none\">s<\/span><span data-contrast=\"none\">,\u00a0<\/span><span data-contrast=\"none\">regardless country of\u00a0<\/span><span data-contrast=\"none\">resid<\/span><span data-contrast=\"none\">ence<\/span><span data-contrast=\"none\">.\u00a0<\/span><span data-contrast=\"none\">Many subsidiaries\u00a0<\/span><span data-contrast=\"none\">are managed by<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">D&amp;Os<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">residing outside of Canada<\/span><span data-contrast=\"none\">.\u00a0\u00a0<\/span><span data-contrast=\"none\">The<\/span><span data-contrast=\"none\">se<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">obligation<\/span><span data-contrast=\"none\">s<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">are unfettered by this fact<\/span><span data-contrast=\"none\">, as the issue of residence is not likely to serve as grounds\u00a0<\/span><span data-contrast=\"none\">of<\/span><span data-contrast=\"none\"> defence<\/span><span data-contrast=\"none\">,<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">n<\/span><span data-contrast=\"none\">or\u00a0<\/span><span data-contrast=\"none\">a mitigating factor when fines or imprisonment\u00a0<\/span><span data-contrast=\"none\">are<\/span><span data-contrast=\"none\">\u00a0considered<\/span><span data-contrast=\"none\">. The\u00a0<\/span><span data-contrast=\"none\">obligation\u00a0<\/span><span data-contrast=\"none\">is an active one since there is a presumption that the\u00a0<\/span><span data-contrast=\"none\">D&amp;Os\u00a0<\/span><span data-contrast=\"none\">are guilty of an offence when it is committed by the<\/span><span data-contrast=\"none\">\u00a0corporation\u2019s\u00a0<\/span><span data-contrast=\"none\">employee,\u00a0<\/span><span data-contrast=\"none\">agent<\/span><span data-contrast=\"none\">\u00a0or mandatary. The only way to rebut th<\/span><span data-contrast=\"none\">is<\/span><span data-contrast=\"none\">\u00a0presumption is to\u00a0<\/span><span data-contrast=\"none\">convincingly show<\/span><span data-contrast=\"none\">\u00a0that the employee,\u00a0<\/span><span data-contrast=\"none\">agent<\/span><span data-contrast=\"none\">\u00a0or\u00a0<\/span><span data-contrast=\"none\">the\u00a0<\/span><span data-contrast=\"none\">mandatary has committed the offence without their knowledge\u00a0<\/span><b><span data-contrast=\"none\">and<\/span><\/b><span data-contrast=\"none\">\u00a0that they exercised\u00a0<\/span>all<span data-contrast=\"none\">\u00a0due diligence to prevent its commission.<\/span><span data-contrast=\"none\">\u00a0\u00a0<\/span><span data-contrast=\"none\">In the\u00a0<\/span><span data-contrast=\"none\">case where\u00a0<\/span><span data-contrast=\"none\">D&amp;Os resid<\/span><span data-contrast=\"none\">e<\/span><span data-contrast=\"none\">\u00a0abroad, the first\u00a0<\/span><span data-contrast=\"none\">part of the presumption\u00a0<\/span><span data-contrast=\"none\">is likely<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">to\u00a0<\/span><span data-contrast=\"none\">be eas<\/span><span data-contrast=\"none\">ier<\/span><span data-contrast=\"none\">\u00a0to\u00a0<\/span><span data-contrast=\"none\">rebut<\/span><span data-contrast=\"none\">, but\u00a0<\/span><span data-contrast=\"none\">adducing compelling evidence that due diligence was exercised will remain\u00a0<\/span><span data-contrast=\"none\">complicated.<\/span><span data-contrast=\"none\">The\u00a0<\/span><i><span data-contrast=\"none\">Act\u00a0<\/span><\/i><span data-contrast=\"none\">does not provide any guidelines on how to comply with this obligation.\u00a0<\/span><span data-contrast=\"none\">In the<\/span><span data-contrast=\"none\">\u00a0unprecedented<\/span><span data-contrast=\"none\">\u00a0context\u00a0<\/span><span data-contrast=\"none\">that the COVID-19 brings\u00a0<\/span><span data-contrast=\"none\">and in regard of the Emergency\u00a0<\/span><span data-contrast=\"none\">O<\/span><span data-contrast=\"none\">rders issued<\/span><span data-contrast=\"none\">\u00a0under the\u00a0<\/span><i><span data-contrast=\"none\">Act<\/span><\/i><span data-contrast=\"none\">, how can\u00a0<\/span><span data-contrast=\"none\">D&amp;Os<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">respect their obligations?\u00a0<\/span><span data-contrast=\"none\">Consequently, w<\/span><span data-contrast=\"none\">e\u00a0<\/span><span data-contrast=\"none\">u<\/span><span data-contrast=\"none\">r<\/span><span data-contrast=\"none\">ge\u00a0<\/span><span data-contrast=\"none\">D&amp;Os<\/span><span data-contrast=\"none\">\u00a0to implement\u00a0<\/span><span data-contrast=\"none\">detailed<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">and comprehensive\u00a0<\/span><span data-contrast=\"none\">polic<\/span><span data-contrast=\"none\">ies<\/span><span data-contrast=\"none\">\u00a0to\u00a0<\/span><span data-contrast=\"none\">insure<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">that\u00a0<\/span><span data-contrast=\"none\">the corporation and its employees\u00a0<\/span><span data-contrast=\"none\">comply with\u00a0<\/span><span data-contrast=\"none\">their new<\/span><span data-contrast=\"none\">\u00a0obligations.\u00a0<\/span><span data-contrast=\"none\">H<\/span><span data-contrast=\"none\">ere\u00a0<\/span><span data-contrast=\"none\">is a non-exhaustive list of some<\/span><span data-contrast=\"none\">\u00a0measures that should<\/span><span data-contrast=\"none\">, in our view,<\/span><span data-contrast=\"none\">\u00a0be integrated in such polic<\/span><span data-contrast=\"none\">y<\/span><span data-contrast=\"none\">:<\/span><span data-ccp-props=\"{&quot;134233117&quot;:true,&quot;134233118&quot;:true,&quot;201341983&quot;:0,&quot;335551550&quot;:6,&quot;335551620&quot;:6,&quot;335559738&quot;:288,&quot;335559739&quot;:168,&quot;335559740&quot;:240}\">\u00a0<\/span><\/p>\n<ol>\n<li data-leveltext=\"%1.\" data-font=\"Arial\" data-listid=\"8\" aria-setsize=\"-1\" data-aria-posinset=\"1\" data-aria-level=\"1\"><b><span data-contrast=\"none\">Inform your employees on the COVID-19 situation and on their obligations and yours<\/span><\/b><b><span data-contrast=\"none\">.<\/span><\/b><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">M<\/span><span data-contrast=\"none\">ake them aware of the harmful consequences of not respecting the\u00a0<\/span><i><span data-contrast=\"none\">Quarantine Act\u00a0<\/span><\/i><span data-contrast=\"none\">or the Emergency Orders adopted under it.\u00a0<\/span><span data-contrast=\"none\">Reliable communication channels<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">dedicated<\/span><span data-contrast=\"none\">\u00a0to COVID-19\u00a0<\/span><span data-contrast=\"none\">should be established, so that\u00a0<\/span><span data-contrast=\"none\">everyone\u00a0<\/span><span data-contrast=\"none\">can\u00a0<\/span><span data-contrast=\"none\">share the latest and most\u00a0<\/span><span data-contrast=\"none\">pertinent<\/span><span data-contrast=\"none\">\u00a0information.<\/span><\/li>\n<li data-leveltext=\"%1.\" data-font=\"Arial\" data-listid=\"8\" aria-setsize=\"-1\" data-aria-posinset=\"1\" data-aria-level=\"1\"><b><span data-contrast=\"none\">Suspend all unnecessary travels<\/span><\/b><span data-contrast=\"none\">. Also\u00a0<\/span><span data-contrast=\"none\">limit<\/span><span data-contrast=\"none\">, when possible,<\/span><span data-contrast=\"none\">\u00a0<\/span><span data-contrast=\"none\">in-person activities. Prioritize remote-working<\/span><span data-contrast=\"none\">, phone calls with clients\u00a0<\/span><span data-contrast=\"none\">and video conference meetings.\u00a0<\/span><\/li>\n<li data-leveltext=\"%1.\" data-font=\"Arial\" data-listid=\"8\" aria-setsize=\"-1\" data-aria-posinset=\"1\" data-aria-level=\"1\"><b><span data-contrast=\"none\">If your employees return from abroad, do not allow them to enter the workplace.<\/span><\/b><span data-contrast=\"none\">\u00a0Be flexible and accommodate them by either letting them work from home and if it is not possible, compensate them for the period of their quarantine.\u00a0<\/span><\/li>\n<li data-leveltext=\"%1.\" data-font=\"Arial\" data-listid=\"8\" aria-setsize=\"-1\" data-aria-posinset=\"1\" data-aria-level=\"1\"><b><span data-contrast=\"none\">Support your employees who are in quarantine<\/span><\/b><span data-contrast=\"none\">.
